1. Agreement to Terms

By accessing or using HS&C Marketplace ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Platform. Your continued use of the Platform after changes are posted constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3. User Accounts

To access certain features of the Platform, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

4. Marketplace Rules

For Buyers:

• You must pay for all items you purchase
• Payment is processed through our secure payment system
• Shipping costs and timelines are set by individual sellers
• Disputes should be resolved directly with sellers when possible
• Reviews must be honest and based on actual purchase experience

For Sellers:

• You must accurately describe all products you list
• You must fulfill orders in a timely manner
• You are responsible for all taxes and legal obligations
• You must comply with all applicable laws and regulations
• Platform fees apply to all sales (2% of subtotal)
• Shipping charges are separate and set by you

5. Prohibited Activities

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Post false, misleading, or fraudulent content
• Engage in price manipulation or anti-competitive behavior
• Circumvent platform fees or payment systems
• Harass, threaten, or abuse other users
• Sell prohibited, illegal, or counterfeit items
• Use automated systems to scrape or access the Platform
• Attempt to gain unauthorized access to systems or data
• Interfere with the proper functioning of the Platform

6. Payment and Fees

All payments are processed through Stripe. By making a purchase, you agree to Stripe's terms and conditions. HS&C collects a 2% platform fee on the subtotal of each order.

Sellers receive payouts after orders are marked as fulfilled and the standard hold period has elapsed. We reserve the right to hold funds in cases of suspected fraud or disputes.

All prices are in USD. Applicable taxes may apply based on your location.

7. Intellectual Property

The Platform and its content, features, and functionality are owned by HS&C and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you post on the Platform but grant HS&C a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with operating the Platform.

8. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. HS&C DOES NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION OF THE PLATFORM.

HS&C is a marketplace platform connecting buyers and sellers. We do not manufacture, store, or ship products. Sellers are independent third parties, and we are not responsible for their actions, products, or services.

Product quality, shipping times, and customer service are the responsibility of individual sellers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HS&C SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability for any claims arising from your use of the Platform shall not exceed the amount you paid to HS&C in the 12 months preceding the claim.

10. Dispute Resolution

For disputes between buyers and sellers, we encourage direct communication first. If you cannot resolve a dispute, you may contact our support team for assistance.

Any disputes with HS&C regarding these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

11. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion.

You may close your account at any time by contacting support. Termination does not relieve you of obligations incurred prior to termination.

12. Governing Law

These Terms are governed by the laws of the United States and the State of [Your State], without regard to conflict of law principles.
